1. Definitions
"Service" means the FoodLabel.co.uk web application, APIs, and any related services. "User" or "you" means the individual or legal entity registering for the Service. "Subscription" means the paid plan granting access to the Service.
2. Acceptance of Terms
By creating an account, clicking "I agree," or otherwise using the Service, you agree to be bound by these Terms & Conditions ("Terms"). If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that company. If you do not agree, do not use the Service.
3. Account Registration & Security
- You must provide accurate information and keep it up to date.
- You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
- You must notify us immediately of any unauthorised use or security breach.
4. Subscription Plans & Payment Terms
- Retailer Plan: £79 /month
- Importer/Distributor Plan: £129 /month
- API Plan: Custom pricing from £199 /month (contact sales)
All prices are exclusive of VAT and other applicable taxes. Subscriptions renew automatically each month until cancelled. Payments are processed by Stripe; you authorise us to charge your payment method on each renewal date.
5. Free Trial
New users receive a 14‑day free trial. At the end of the trial, your chosen subscription fee will be charged unless you cancel before the trial ends. Only one free trial per organisation.
6. Cancellation & Refunds
You may cancel at any time from your account dashboard. No refunds are provided for partial months. Your access remains active until the end of the current billing cycle.
7. API Terms
Access to our APIs is subject to rate limits, security requirements, and additional API documentation. We may suspend or revoke API access if you misuse the Service or exceed agreed limits.
8. Intellectual Property
We retain all rights, title, and interest in and to the Service, including software, documentation, and trademarks. These Terms grant you a limited, non‑exclusive, non‑transferable licence to use the Service for your internal business purposes.
9. User Responsibilities & Compliance Disclaimer
The Service generates food‑label content based on data you provide and applicable EU/UK regulations as of the latest software update. You are solely responsible for verifying that each generated label is complete, accurate, and legally compliant before printing or applying it to any product. We do not warrant that the generated labels are error‑free or fit for any particular purpose.
Critical disclaimer: We shall not be liable for any loss, damage, claim, or injury (including health issues) arising from inaccuracies in labels or failure to comply with regulatory requirements. By using the Service, you agree to indemnify and hold us harmless from any claims arising out of your use of the label data.
10. Service Updates & Availability
We regularly update the Service to reflect regulatory changes and improve functionality. We will use reasonable efforts to provide 99.5% uptime but do not guarantee uninterrupted availability. Scheduled maintenance will be announced in advance when possible.
11. Warranties & Disclaimers
The Service is provided "as is" without warranties of any kind, express or implied, including fitness for a particular purpose. We do not warrant that the Service will be error‑free or continuously available.
12. Limitation of Liability
To the maximum extent permitted by law, our total liability under these Terms shall not exceed the amount paid by you to us in the preceding twelve months. We shall not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits or data.
13. Indemnification
You agree to indemnify, defend, and hold harmless FoodLabel.co.uk and its directors, officers, employees, and agents from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any right of a third party.
14. Termination
We may suspend or terminate your account if you breach these Terms or misuse the Service. Upon termination, your right to use the Service ceases immediately.
15. Governing Law & Jurisdiction
These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
16. Changes to Terms
We may update these Terms from time to time by posting an amended version on our website. Material changes will be communicated via email or dashboard notification. Continued use of the Service after changes constitutes acceptance.
